Please read these Terms & Conditions carefully before using the websit at dreamvending.sg or engaging any services provided by Dream Vending. By accessing our website or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our website or engage our services.
SECTION 1
Acceptance of Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Dream Vending (UEN: ...), a company incorporated in Singapore and operating under the trade name Dream Vending ("Company", "we", "us", or "our").

Your use of our website, submission of any enquiry form, WhatsApp message, or email, or your engagement of any of our services — whether through a formal agreement, purchase order, or verbal instruction — constitutes your acceptance of these Terms in full.

These Terms apply to all services we offer, including machine sales, machine rental, repair and servicing, drinks supply, the Vending 121 Coaching Programme, Full Management Services, and Franchise arrangements. Service-specific terms in Sections 5 to 10 supplement (and in cases of conflict, take precedence over) the general Terms in all other sections.
SECTION 3
Eligibility
By engaging our Services, you represent and warrant that:

You are at least 18 years of age, or you are a legally constituted business entity acting through an authorised representative;

You have the legal capacity to enter into a binding agreement under the laws of Singapore;

Any information you provide to us is accurate, complete, and up to date;

Your use of our Services does not violate any applicable law or regulation in Singapore or any other jurisdiction applicable to you.
We reserve the right to refuse service to any person or entity at our sole discretion, including where we have reason to believe the eligibility criteria above are not satisfied.
SECTION 4
Services Overview
Dream Vending offers a range of vending-related services in Singapore. A brief description of each service category is set out below. Detailed terms specific to each service are set out in Sections 5 to 10. In the event of any conflict between a service-specific section and the general Terms, the service-specific section shall prevail.

Machine Sales & Rental— Purchase or rental of vending machines for independent operation by the Client

Repair & Servicing— On-site and scheduled maintenance and repair of vending machines

Drinks Supply & Shop— Supply of drinks, snacks, and consumables for vending machine operators
-
Vending 121 Coaching Programme— In-person one-to-one coaching delivered by Eugene Siew across four tiers
-
Logistics Management — End-to-end operational management of Client-owned or Client-rented vending machines
-
Franchise— Licensing of a Dream Vending brand and operating system to qualified franchisees
Engagement of any Service may require execution of a separate service agreement, scope of works document, or franchise agreement. These Terms apply to all such engagements and are incorporated by reference into those documents unless expressly excluded.
SECTION 5
Machine Sales & Rental
​Machine Sales
Upon payment of the agreed purchase price in full, title to the Machine passes to the Client. Risk of loss or damage passes to the Client upon delivery or collection, whichever is earlier. All Machines are sold in the condition described at the point of sale. Where a warranty is offered, the terms, duration, and scope of such warranty will be set out in the sales documentation. We do not accept returns on Machines after delivery unless the Machine is found to have a material defect that was not disclosed at the time of sale.

Machine Rental
Machine rental agreements are governed by a separate rental contract. The following general terms apply to all rental arrangements:

The Machine remains the property of Dream Vending at all times during the rental period

The Client is responsible for the safekeeping and reasonable care of the Machine during the rental term

The Client must not modify, sublease, relocate, or otherwise deal with the Machine without our prior written consent
-
The Client is responsible for any damage beyond fair wear and tear
-
Upon termination of the rental agreement, the Machine must be returned in the condition it was received, subject to fair wear and tear
-
Monthly rental fees are payable in advance as specified in the rental agreement. Late payment may attract interest or suspension of the rental arrangement
SECTION 6
Repair & Servicing
Repair and servicing engagements are subject to the following terms:

We will provide a diagnosis and, where applicable, a written quote before carrying out any repair work. Work will only proceed upon your authorisation

Quoted prices are estimates based on the information available at the time of diagnosis. If additional faults are discovered during repair, we will notify you and seek approval before proceeding
-
Parts used in repairs are sourced from reputable suppliers. Where a part is not immediately available, we will advise on lead times before proceeding
-
A call-out fee may be applicable for on-site visits, as communicated at the time of booking
-
Preventive maintenance services are carried out to the schedule agreed in the applicable service contract
-
We do not guarantee that a repair will resolve all faults if the Machine has underlying issues that were not diagnosed or disclosed at the time of engagement
-
Any warranty on repair work carried out by us is limited to the specific fault repaired and the parts replaced, for a period of 30 days from the date of repair, unless otherwise agreed in writing
Response times quoted on our website (e.g. "4-hour average") are targets based on historical performance and are not contractual commitments unless specifically agreed in a service level agreement.
SECTION 7
Drinks Supply & Shop
The following terms apply to the purchase of products through our drinks supply service or online shop:

All orders are subject to product availability. We reserve the right to substitute equivalent products where a specific product is out of stock, subject to your prior notification and agreement

Prices are quoted in SGD and are inclusive of GST where applicable. Prices are subject to change without notice, though the price confirmed at the time of your order will apply to that order
-
Minimum order quantities may apply to certain products or delivery arrangements, as communicated at the time of ordering
-
Delivery timelines are estimates. We are not liable for delays caused by third-party logistics providers or circumstances outside our control
-
You must inspect all delivered goods upon receipt and notify us of any discrepancy, damage, or shortage within 24 hours of delivery. Claims made after this period may not be accepted
-
Perishable products may not be returned once delivered unless they are defective or incorrectly supplied
-
Trade pricing and credit terms for regular operators are subject to a separate account agreement
SECTION 8
Vending 121 Coaching Programme

Enrolment in the Vending 121 Coaching Programme is subject to the following terms:
-
A non-refundable deposit of SGD 500 is required to confirm your booking. The remaining balance is payable in full before the commencement of the first coaching session
-
Coaching sessions are conducted in person in Singapore by Eugene Siew. Sessions are scheduled by mutual agreement at a time and location to be confirmed upon enrolment
-
Sessions may be rescheduled with a minimum of 24 hours' written notice. Sessions rescheduled with less than 24 hours' notice, or missed without notice, will be deemed to have been delivered and deducted from your session entitlement
-
Package upgrades are permitted at any time during the programme by paying the difference in price between your current package and the upgraded package
-
Coaching materials, templates, and frameworks provided as part of the programme are proprietary to Dream Vending and are licensed to you for personal use only. They may not be reproduced, shared, or used to provide competing coaching services
-
WhatsApp support is provided during the support period specified in your package tier. Support is offered on a reasonable endeavours basis during business hours and does not constitute a guarantee of response within a specific timeframe
-
We do not guarantee specific financial outcomes or revenue results from participation in the programme. Results depend on individual effort, market conditions, and factors outside our control
-
The non-refundable deposit is not refundable under any circumstances. Refunds of the balance paid beyond the deposit are at our sole discretion and will only be considered in exceptional circumstances
SECTION 9
Logistics Management
Full Management Services are governed by a separate management agreement. The following general terms apply:

Dream Vending will manage the day-to-day operations of your Machine(s) as agreed in the management agreement, including stocking, servicing, and revenue collection
-
Revenue sharing arrangements are set out in the management agreement and are calculated based on net sales after deduction of agreed operating costs
-
We will provide monthly performance reports and revenue payouts on the schedule agreed in the management agreement
-
You retain ownership of your Machine(s) at all times. Dream Vending acts as your authorised operator and agent for the purposes of the management agreement
-
We are not liable for loss of revenue arising from Machine downtime due to technical failure, third-party disruption, site access issues, or circumstances beyond our reasonable control
-
Either party may terminate the management agreement with the notice period specified therein. Upon termination, all revenue owed to you will be settled within 30 days
-
You must provide us with lawful access to the Site during agreed service hours. Failure to do so may result in service delays for which we bear no liability
SECTION 10
Franchise
Franchise arrangements are governed by a separate franchise agreement which takes precedence over these general Terms in all matters relating to the franchise relationship. The following general principles apply:

A franchise licence grants you the right to operate a vending business under a specified Dream Vending brand within a defined territory and for a defined term, subject to the terms of the franchise agreement

Franchise fees, royalties, and any other financial obligations are set out in the franchise agreement and must be paid on time
-
Franchisees must operate in accordance with the Dream Vending brand standards, operations manual, and all applicable laws and regulations in Singapore
-
Dream Vending retains all ownership of the brand, trademarks, and Intellectual Property at all times. No ownership of the brand is transferred to the franchisee
-
Franchisees may not assign, sublicense, or otherwise transfer their franchise rights without prior written consent from Dream Vending
-
Breach of the franchise agreement may result in termination of the franchise licence with consequences as set out in the franchise agreement
Prospective franchisees will receive a full disclosure document prior to signing any franchise agreement. We strongly recommend that you seek independent legal advice before entering into a franchise arrangement.
SECTION 11
Payment Terms
The following payment terms apply across all our Services unless a separate agreement specifies otherwise:

All prices are quoted in Singapore Dollars (SGD) and are inclusive of applicable GST unless stated otherwise
-
We accept payment by cash, PayNow, bank transfer, and all major credit and debit cards. No surcharge applies to any payment method
-
Payment is due as specified in the relevant quote, invoice, or service agreement. Where no payment date is specified, payment is due within 14 days of the invoice date
-
Late payments may attract interest at the rate of 1.5% per month on the outstanding balance, calculated from the due date until the date of actual payment
-
We reserve the right to suspend Services where payment is overdue by more than 14 days, without prejudice to any other rights we may have
-
All deposits paid to Dream Vending are non-refundable unless expressly stated otherwise in these Terms or a separate written agreement

Disputed invoices must be raised in writing within 7 days of the invoice date. Payment of the undisputed portion of an invoice must not be withheld pending resolution of a dispute
SECTION 12
Cancellation & Refunds
Our cancellation and refund policies vary by service. Please refer to our Refund Policy for full details. The following general principles apply:

Machine Sales: Once a Machine has been delivered or collected, it may not be returned unless it has a material undisclosed defect
-
Machine Rental: Cancellation terms are set out in the rental agreement. Early termination fees may apply
-
Repair & Servicing: You may cancel a booking without charge up to 24 hours before the scheduled appointment. Late cancellations may incur a call-out fee
-
Drinks Supply: Orders may be cancelled prior to dispatch. Cancellation after dispatch is not permitted except where goods are defective or incorrectly supplied
-
Coaching Programme: The SGD 500 deposit is non-refundable. Refund of the remaining balance is at our sole discretion
-
Logistics Management & Franchise: Cancellation is governed by the relevant service or franchise agreement
SECTION 13
Intellectual Property
All content on the dreamvending.sg website — including text, images, graphics, logos, icons, video, audio, and software — and all training materials, frameworks, playbooks, templates, and methodologies provided as part of our Services are the exclusive property of Dream Vending. or its licensors and are protected by copyright, trademark, and other applicable laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use our website content for personal, non-commercial purposes. You may not:

Reproduce, republish, distribute, sell, or commercially exploit any content from our website or Services without prior written permission

Use our trademarks, trade name, or brand assets without prior written authorisation
-
Reverse-engineer, copy, or adapt any training material, methodology, or framework provided through our Coaching Programme or other Services
-
Create derivative works based on our Intellectual Property

Any feedback, suggestions, or ideas you provide to us may be used by Dream Vending without restriction or compensation.
SECTION 14
Limitation of Liability
To the fullest extent permitted by Singapore law, Dream Station Pte. Ltd. shall not be liable for:

Any indirect, consequential, incidental, special, or punitive loss or damage arising from your use of our Services or website
-
Loss of profit, revenue, business, opportunity, or goodwill — whether direct or indirect
-
Loss of data or information
-
Damage to Machines, property, or equipment arising from misuse, improper installation by a third party, or events beyond our reasonable control
-
Any financial outcome or result from participation in our Coaching Programme, as outcomes are dependent on individual effort and market conditions
-
Interruption to Services caused by third-party suppliers, force majeure events, or circumstances outside our reasonable control

Where liability cannot be excluded by law, our total aggregate liability to you for any claim arising out of or in connection with our Services shall not exceed the amount actually paid by you to Dream Vending for the specific Service giving rise to the claim in the 12 months preceding the event.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable Singapore law.
SECTION 15
Indemnification
You agree to indemnify, defend, and hold harmless Dream Station Pte. Ltd., its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with:

Your breach of these Terms or any applicable law or regulation

Your misuse of a Machine, including damage caused to third parties or property at the Site
-
Any claim by a third party (including your landlord, site owner, or customers) arising from your operation of a vending business
-
Any inaccurate or misleading information you provide to us
-
Your infringement of any Intellectual Property or other rights of Dream Vending or any third party
SECTION 16
Termination
We may suspend or terminate your access to our Services or website, or terminate any Agreement, immediately and without prior notice if:

You materially breach these Terms or the terms of any applicable service agreement and fail to remedy the breach within 7 days of written notice
-
You become insolvent, enter liquidation, or are subject to any insolvency proceedings
-
We have reasonable grounds to believe you are engaged in fraudulent or unlawful conduct in connection with our Services
-
Continued provision of Services would expose us to legal, regulatory, or reputational risk
Upon termination, any outstanding fees owed to Dream Vending become immediately due and payable. Clauses relating to Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution survive termination.
SECTION 17
Governing Law
These Terms and any Agreement between you and Dream Vending. are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

You irrevocably submit to the exclusive jurisdiction of the courts of Singapore for the resolution of any dispute arising out of or in connection with these Terms or any Agreement, subject to the dispute resolution procedure in Section 18.
SECTION 18
Dispute Resolution
In the event of a dispute, we encourage you to contact us first to seek an amicable resolution before initiating formal proceedings.

Negotiation: Either party may issue a written notice of dispute. The parties shall attempt to resolve the dispute through good-faith negotiation within 21 days of such notice.

Mediation: If the dispute is not resolved through negotiation within 21 days, either party may refer the matter to mediation administered by the Singapore Mediation Centre in accordance with its mediation rules.

Litigation: If mediation is unsuccessful, either party may commence legal proceedings in the courts of Singapore.
For consumer disputes involving amounts not exceeding SGD 20,000, you may also consider filing a claim with the Small Claims Tribunals of Singapore.
SECTION 19
Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Continued use of our website or Services after the updated Terms have been posted constitutes your acceptance of the revised Terms.

For ongoing service agreements, any changes to these Terms will apply from the next renewal period unless we notify you otherwise. We will provide reasonable notice of material changes that affect your existing agreements.
